Lead Generator Agreement

This Agreement (“Agreement”) is made between Surgo PTY LTD (“Surgo”) and the individual registering as a Lead Generator (“Participant”). By acknowledging and accepting this Agreement, the Participant agrees to the following terms and conditions: 

Program Participation

1. The Participant may register to refer potential clients to Surgo through the Lead Generator Program (“Program”). 
2. Participation requires completion of the mandatory LMS training module as part of the registration process. 
3. The Participant must provide truthful and accurate personal and payment details for the purposes of this Program.
   

Lead Submission

1. All leads submitted must be pre-qualified, meaning the Participant must have had an initial conversation with the potential client. 
2. The potential client must be informed that Surgo will contact them; blind referrals are not permitted. 
3. Leads must be submitted only via the official lead logging form provided by Surgo. 
4. Participants must provide accurate and complete information for each lead. 

Commission

1. Commission is earned only on the client’s first paid invoice. 
2. Commission rates are based on a gamified progression system: 
   • Starting rate: 2% of the first invoice value. 
   • Maximum rate: 5% of the first invoice value, based on total monetary value of successful leads. 
3. Commissions will be paid only after: 
   • The referred client signs up with Surgo, and 
   • The client’s first invoice has been paid in full. 
4. Invalid, fraudulent, or unqualified leads will void commission eligibility.
   

Participant Conduct

1. Surgo reserves the right to modify, suspend, or terminate the Program or the terms of this Agreement at any time. 
2. Participants will be notified of significant changes via email. Continued participation constitutes acceptance of any updates. 
3. Surgo is not liable for leads that do not convert or for client payment issues. 

General

• This Agreement constitute the entire Agreement between the Parties and neither Party shall be bound by any undertakings, representations, warranties, or promises not recorded in this Agreement.  
• No variation of the Agreement shall be of any force or effect unless reduced to writing and accepted by both Parties.  
• This Agreement will be governed by and construed in accordance with the laws of the Republic of South Africa and all disputes, actions and other matters relating thereto will be determined in accordance with such law.  
• Nothing in this Agreement shall be construed as creating a partnership or employment relationship between the Parties and neither Party shall have any authority to incur any liability on behalf of the other.  
• The rule of construction that an agreement shall be interpreted against the Party responsible for the drafting or preparation of the Agreement, shall not apply.  

Acknowledgement

By acknowledging this Agreement online, the Participant confirms that: 

• They have read, understood, and agree to all terms outlined above. 
• They have completed or will complete the required training before submitting leads. 
• They agree to act in accordance with Surgo’s rules, ethical guidelines, and applicable laws.
